Business Selling Process

At VR Indiana, we are acutely aware of what it takes to successfully sell your business. We have sold businesses in just about every industry you can imagine. Through that experience, we know that you have questions and want to get an idea of what to expect before you start the process.

  1. Seller Meeting. A VR Business Broker will meet with you (either by phone or in person) to discuss the process of selling a business and learn a little about your specific business.

  2. Free Opinion of Value. We will ask you for some basic financial information on your business. In only a couple of days, we will provide you with a free, no obligation estimate of the value of your business.

  3. Listing Agreement. If the opinion of value falls into the range that you are comfortable with, the next step is to execute the listing agreement with VR.

  4. Documentation. We will ask you for the necessary information and documentation required to sell your business. The documentation will include financial statements, tax returns, equipment, marketing information, etc.

  5. Packaging. We put together a Confidential Business Profile with detailed information about your business. This profile typically has hard copy, Internet / PDF and in some cases video formats to present your business in the clearest light.

  6. Marketing. We advertise your business to get the highest possible response and the greatest number of prospects.

  7. Buyer Screening. You’ve got enough to do each day just being occupied with the operation of your business. Our experience in dealing with prospective buyers saves you time, energy and aggravation ensuring that your potential suitor has the financial ability and necessary business acumen to complete the transaction and carry your business into a bright tomorrow.

  8. Introduction/Meetings. Your business (disguised) is presented to qualified prospects first via telephone, Internet and in our office before bringing them to your business. Once a serious, qualified, prospective buyer is found, we arrange a tour of the business and/or a meeting with you to cement the buyer's interests and give you an opportunity to learn about the buyer.

  9. Offer to Purchase / Negotiation / Offer Acceptance. We present the offer to you, along with detailed information on the background of the prospective buyer. It is during the offer and acceptance phase where your Intermediary’s experience is most valuable. He or she will use their training and negotiating skills to create a mutually acceptable agreement. Once you and the buyer have settled upon price and terms the agreement becomes a contingent purchase and sale contract.

  10. Due Diligence. Nearly all offers are contingent upon the buyer's inspection and approval of many aspects of the business operation, such as financial records, equipment, contracts/ leases, licenses, inventory, etc. The handling of this "due diligence" phase of the process is critical to ensuring a successful sale.

  11. Closing. At closing, money, title and possession of the business change hands. With proper planning and preparation, this step will go smoothly.
